What We Do

Transaction Structuring

Most transactions fail on structure, not on price.

Where a deal breaks down late, the reason is rarely the headline number. It is an unresolved condition, an unallocated risk or a milestone nobody defined.

01

The task

Structure is what makes a price hold.

A purchase price only means something in the context of the structure behind it: what is being sold, in what form, under which conditions, with which risks on whose side and against which milestones the money moves. NEEK develops that structure together with the parties and their advisers, and keeps it consistent from the letter of intent through to closing.

Areas of work

What we structure.

  • Asset deal and share deal as possible structures
  • Forward purchase and forward funding
  • Portfolio and single-asset transactions
  • Purchase price and payment mechanics
  • Risk allocation between the parties
  • Milestones and conditions precedent
  • Financing and capital structure
  • Stakeholder coordination
  • Signing and closing requirements
03

Boundaries

Where our work ends.

NEEK is not a law firm, not a tax adviser and not a regulated financial services provider. We do not draft purchase agreements, do not assess tax consequences and do not opine on the legal enforceability of a structure. What we do is prepare the commercial logic, organise the documentation, coordinate the specialists and keep the process moving — so that legal and tax advisers can work on a clear brief instead of an unsorted situation.

Legal, tax and regulated advice is provided by appropriately qualified advisers appointed by the parties themselves.

04

Transaction Structuring

Structure a transaction properly.

If you are weighing structures — asset or share deal, forward purchase, staged payments — a conversation early in the process is worth considerably more than one after the LOI.
